At a meeting of the Board held on March 19, 2002, the Board approved the transfer of 1,322,184,876 ordinary stock units of $1.00 each from Atrium Holdings Ltd. to AIC (Barbados) Ltd. and 157,872,822 ordinary stock units of $1.00 each from Atrium XS Holdings Ltd. to AIC (Barbados) Ltd.
At the same Board meeting, the Board accepted the following resignations which had been submitted by directors:
