Listing on the Private Market

The JSE Private Market is for any company or entity that is registered at the Financial Services Commission (FSC) for exempt distribution of securities. The Exchange maintains the JSE Private Market Web Portal for placing private debt and equity issues, to increase market participation and provide greater efficiency within the securities market.  

Requirements

  •  No less than JMD100 million (or the equivalent value in any other currency) to be raised on this market.
  • Only for issuers registered for exempt distribution of securities by the FSC .

Application Documents

  • Application for Private Listing
  • Private Listing Agreement
  • The issuer is registered for exempt distribution of securities by the FSC 
  • Letter from the FSC confirming exempt distribution registration status
  • Form XD F-2 – Exempt Distribution Report
  • Articles of Association/Incorporation or other corresponding document
  • A certified copy of the resolution of the Directors or Shareholders, authorizing application for listing
  • Other documents that the Exchange may require.

Ongoing Requirements

Companies listed on the Private Market are required to comply with the Private Market Rules of the JSE and the requirements of JSE Appendix 3 – Private Listing Agreement.
