GENERAL INFORMATION ON THE
REGULATORY & MARKET OVERSIGHT DIVISION (RMOD)

WHAT IS THE RMOD?

On April 1, 2008, the JSE completed
its demutualization process which has led to the need to separate the company’s
regulatory responsibilities from its commercial operations. This was deemed
necessary to ensure that the JSE continues to operate with the highest regard
for good corporate governance. It was felt that this new model would allow for
greater concentration on efforts to advance the market with fairness and
transparency, with strong self regulation playing its role accordingly.

The new structure saw an independent
department, the Regulatory and Market Oversight Division (RMOD), being created.
The division is headed by the Chief Regulatory Officer (CRO). The CRO reports
directly to the Regulatory and Market Oversight Committee (RMOC). This
Committee is comprised of the independent members of the Board and has the
power to make final decisions in regards to the regulation of the market. The
RMOC is currently chaired by Miss Hilary Phillips Q.C. representative of the
Jamaican Bar Association. The other members of this Committee include
representatives from the Ministry of Finance and the Public Service; the
Institute of Chartered Accountants of Jamaica (ICAJ); the Bank of Jamaica and
the Private Sector Organization of Jamaica. The RMOD is responsible for Listed
Company Compliance, Member/Dealers Regulation (brokers), Market Surveillance
and Enforcement.
