NOTICE IS HEREBY GIVEN that the meeting to consider the Scheme of Arrangement between Capital & Credit Merchant Bank Limited and stockholders scheduled to be held at 10:00 a.m. on Tuesday, March 25, 2008 at the Jamaica Pegasus Hotel, 81 Knutsford Boulevard, Kingston 5, Jamaica is postponed and is rescheduled to be held at 10:00 a.m. Monday, March 31, 2008 at the Terra Nova All-Suite Hotel, 17 Waterloo Road, Kingston 10, Jamaica.
TAKE FURTHER NOTICE that the Extraordinary General Meeting of stockholders which was scheduled to be held immediately following the meeting at 10:00 a.m. on Tuesday, March 25, 2008 at the Jamaica Pegasus Hotel, 81 Knutsford Boulevard, Kingston 5 has also been postponed and is also rescheduled to be held on Monday, Mach 31, 2008 at the Terra Nova All-Suite Hotel, 17 Waterloo Road, Kingston 10 Jamaica immediately following the adjournment of the meeting of stockholders to consider the Scheme of Arrangement.
The forms of proxies prepared for use at the postponed meetings may be used on Monday, March 31, 2008, the new date scheduled for the meetings.
It is requested that forms appointing proxies be lodged with the Secretary of Capital & Credit Merchant Bank Limited at 6-8 Grenada Way, Kingston 5, Jamaica, not less than 48 hours before the new date fixed for the meeting, that is, at 10:00 a.m. on Monday, March 31, 2008.
The documents listed at Section 11 of the Explanatory Statement as available for inspection will be so available to stockholders from the date of this notice up to the date of the rescheduled meetings on Monday, March 31, 2008 at the offices in Jamaica and in Trinidad & Tobago mentioned in the said Section 11.
