Course Background
The Jamaica Stock Exchange (JSE), as a national self-regulatory organisation with a mission to ensure and promote a fair and efficient stock market, recognizes the importance of embracing and promoting sound corporate governance practices among listed organisations. As such, the JSE developed and launched its Corporate Governance Index (CGI) in 2016.
Whereas, the Private Sector Organisation of Jamaica (PSOJ)through its Corporate Governance Committee, is the premiere body responsible for building corporate governance awareness and has documented corporate governance guidelines and Codes to support the development of Corporate Governance (CG) best practices in the private sector, the JSE collaborated with the PSOJ in the creation of a Corporate Governance Leadership Development programme for existing and aspiring Directors who have ultimate responsibility for the strategic direction of an organisation.
Course Overview
This Course is designed to provide participants with a comprehensive understanding of the key aspects of corporate governance necessary for the effective and transparent operations of a business enterprise. It outlines the basic tenets involved in a board’s composition (selection of directors), roles and responsibilities, accountability, risk management and other aspects that should result in better decision making and enhanced shareholder value.
Targeted Participants
Existing directors in both the public and private sector.
Individuals aspiring to become directors of public and /or private sector entities.
Course Pre-Requisites
Existing Directors
Minimum of five (5) years in a senior management position,
Minimum of one (1) year as a director; or
Minimum of an undergraduate degree or equivalent
A business entrepreneur for at least two (2) years; or
For mature applicants: at least five (5) years industry experience at a senior management level
Aspiring Directors
Minimum of 5 years in a management position
Minimum of an undergraduate degree or equivalent;
A business entrepreneur for at least four (4) years; or
For mature applicants: at least five (5)years industry experience at a senior management level
Course Content:
This Course will include eight (8) main sections as follows:
Corporate Governance Concepts and Principles
Strategic Leadership
Board Effectiveness
Board Evaluation and Compensation
Financial Accountability& Risk Management
Information Communication Technology (ICT) Governance and Marketing
Stakeholder Relationships and Corporate Sustainability
Laws and regulations
Programme Objectives:
At the end of this programme, participants will understand and appreciate the key duties and responsibilities for directors and be able to apply this knowledge in real-world scenarios. More specifically, participants will be able to:
Understand the language and concepts of corporate governance as applied in best practice;
Understand the relationship between the duties of directors and its effect on governance and business sustainability;
Understand how to be a good strategic leader in practice other than just in name;
Be cognizant of local laws/regulations impacting enterprises corporate governance practices;
Know how an effective board should operate;
Know how to communicate to stakeholders in a manner that results in high-levels of transparency and accountability
Appreciate how concepts such as corporate social responsibility, diversity, ethics and whistle blowing are related to corporate governance
The impact of marketing on business continuity
Have a better appreciation for the director’s strategic role in ICT decisions
Delivery Mode
The programme will be delivered through the JSE e-Campus. This is the training arm of the Jamaica Stock Exchange with the responsibility of providing high quality continuing professional education for the financial services industry in Jamaica and the Caribbean, through its e-learning platform.
However, through its blended learning approach participants will also get the opportunity to interact with lecturers and tutors during lively face-to-face sessions. Live streaming access will be made available to participants who are unable to physically attend the scheduled face-to-face sessions. Recordings of all the sessions will also be available to participants for reference purposes.
This programme uses a combination of traditional and non-traditional elements to facilitate learning. The material that will be covered will primarily be based on international CG best practices; the local, regional and global business and regulatory environment; the PSOJ 2016 CG Code; the PSOJ MSME CG Code (2015); the JSE CG Index (2017); JSE Rule 414 and JSE Rule 506 .
