RJR – Increase in Share Capital

At the Board of Directors meeting held on October 13, 2004, the Board approved a recommendation to propose an increase in the share capital of the company from $143,840,414 to $180,100,000 by the creation of an additional 72,519,172 ordinary shares of $0.50 each. The resolution will be under consideration as special business at the upcoming annual general meeting.
