Resignation of Board Directors & Corporate Secretary
The following directors of the Board of iCreate Limited have tendered their resignations with the following effective dates:

Corporate Secretary for iCreate Limited, Mr. Stephen Greig, has tendered his resignation effective April 17, 2020.
Mr. Devon Lawrence retained his position as a Director and Chair of the Audit Committee of the Company.
Dr. Jennifer Bailey retained her position as a Director and Chair of Academic Advisory Council.
“ICREATE takes this opportunity to thank our outgoing board members for their service and contributions. Under the leadership and direction of the outgoing Chairperson, Board Members and Corporate Secretary, iCreate was succssfully guided through its second full year of operation, during which time we undertook several important financial and operational initiatives which have positively positioned us for the future. Some of these second year initiatives include the raising of the bond issue which was closed in February 2020 and the completion of the expansion and construction of iCreate’s training and operational infrastructures which was completed in August 2019,” ICREATE states.
Resignation of Senior Managers
General Manager, Ms. Sophia Harris and Chief Financial Officer, Ms. Antoinette Hamilton tendered their resignations, effective March 25, 2020 and April 20, 2020, respectively.
Appointment of Executive Chairperson & Board Directors
At a Board Meeting on April 21, 2020 the Board appointed the following as Directors of iCreate Limited effective immediately:
● Mrs. Natasha Dixon
● Mr. Ricardo Allen
At the Board Meeting on April 22, 2020 the Board voted current Board Member Dr. Jennifer Bailey as Executive Chairperson of iCreate Limited. Dr. Bailey’s areas of expertise include operations management, entrepreneurship, innovation management and education. She holds an MBA with concentrations in Operations Management and Information Technology Management from the Georgia Institute of Technology. Dr. Bailey brings to the role of Executive Chairperson a wealth of experience based on her 20+ years of working in both industry and academia.
At a Board Meeting on April 22, 2020, the following appointments were also made: Mr. Demetrie Adams as Corporate Secretary and Mrs. Natasha Dixon as Chair for the HR & Compensation Committee. Mr. Ricardo Allen has also been appointed as a member of both the Audit & HR & Compensation committees.
Replacement of Senior Managers
“At this time, as a temporary measure to contain costs, we will not be filling the two senior management positions which have become vacant as a result of the recent resignations which are listed above. Instead the management responsibilities typically assigned to these positions will be redirected to the Chief Executive Officer and Executive Chairperson. As an interim measure, our key financial reporting responsibilities will be managed by a consultant and a smaller financial accounting team. Being transparent as a company is critical, and we will ensure that these changes will not impact the integrity of our financial reporting,” ICREATE states.
Appointment of Mentor
ICREATE further advised that the Company will be announcing the appointment of a new Mentor to the Board of Directors within the next five (5) days.
