A meeting of the Board of Directors of Hardware & Lumber Ltd is scheduled for Tuesday, November 2 2004 to consider the
following:
1. Proposal for recommendation to be made to the shareholders of the company for:
a. An increase in the Share Capital of the Company
b. A Renounceable Rights Issue
c. Establishment of an Employee Share Scheme
2. The scheduling of an Extraordinary General Meeting (EGM) to approve items (a), (b) and (c) listed under (1) above.
3. The declaration of an interim dividend
