Capital & Credit Merchant Ltd- Share Capital Increase

The Board of Directors of the Bank will be convening a special meeting on Friday, February 4, 2005 to approve for recommendation to the stockholders an increase in the authorized share capital of the Company from 600 m stock units of 50 cents each valued at $300 m to 800 m stock units of 50 cents each valued at $400 m. The Directors will also requisition an extraordinary general meeting of the Company to consider and approve the recommendation, if thought fit.
