At the 14th annual general meeting of the company on November 1, 2001 the following resolutions were passed:
1. That upon the recommendation of the Directors a final dividend of 11.12 cents per stock unit, in respect of the year ended March 31, 2001 (which together with the interim dividend of four cents per stock unit paid on June 8, 2001, making a total dividend for the year of 15.12 cents per stock unit and upon the stock units in issue as at June 8, 2001) be declared payable on January 30, 2002 to shareholders registered at close of business on December 17, 2001.
2. That upon the recommendation of the Directors, the authorised share capital of the company be and is hereby increased from $13,100,000,000 to $14,800,000,000, by the creation of 1,700,000,000 ordinary shares of $1.00 each.
3. That upon the recommendation of the Directors it is desirable to capitalize the sum of $1,966,483,782 for the year ended March 31, 2001 and for a two for thirteen bonus issue.
